These Terms of Service ("Terms") outline the rules and regulations for the use of the Certoria web application (the "Service"), operated by Gall Labs ("us", "we", or "our"). The Service encompasses the https://certoria.com website, its subdomains, the Certoria API, and all associated technologies, software, and content.
Please review these Terms of Service thoroughly before using our Service.
Your ability to access and use the Service is contingent upon your acceptance of and adherence to these Terms. These Terms are applicable to all individuals, including visitors, users, and any others who wish to access or utilize the Service.
By accessing or using the Service, you signify your agreement to be bound by these Terms. If you object to any portion of these terms, you are not permitted to access the Service.
If you are using the Service on behalf of an organization or legal entity, you represent and warrant that you possess the full authority to legally bind that entity and all its members to these Terms.
Certain features of the Service are provided on a subscription basis ("Subscription(s)"). You will be billed in advance on a recurring, periodic schedule ("Billing Cycle"). Billing Cycles are established on a monthly basis.
At the conclusion of each Billing Cycle, your Subscription will automatically renew under the identical conditions unless it is canceled by you or by Gall Labs. You can cancel your Subscription renewal through your online account management portal or by reaching out to the Gall Labs customer support team.
A valid payment method is necessary to process the payment for your Subscription. You must provide our third-party payment processor with accurate and complete billing details, including your full name, address, state, postal code, phone number, and valid payment method information. By providing this payment information, you grant automatic authorization to our payment processor to charge all Subscription fees incurred through your account to the designated payment instruments.
In the event that automatic billing fails for any reason, our payment processor may attempt to process the charge again and/or we may contact you to update your payment information. A successful payment must be completed within 14 days from the start of the Billing Cycle to maintain service.
Gall Labs reserves the right, at its sole discretion and at any time, to change the Subscription fees. Any modification to Subscription fees will take effect at the end of the current Billing Cycle.
We will provide you with reasonable prior notification of any changes to Subscription fees, giving you an opportunity to terminate your Subscription before the new fees are applied.
Your continued use of the Service after the fee change becomes effective signifies your agreement to pay the updated Subscription fee.
Except where required by law, paid Subscription fees are non-refundable. However, we offer the following exception:
You are eligible for a refund for a Subscription provided that you request the refund within 30 days of the initial purchase and have not previously received a refund for any Subscription.
You may be invited to use certain products or features on a trial basis ("Preview Services") before they are made generally available. These Preview Services are often designated with terms like "beta", "preview", "early access", or similar labels. Preview Services are not intended for production environments and may be altered, terminated, or require payment for continued use at any time. There is no guarantee that a Preview Service will ever be released as a generally available feature.

In no event shall Gall Labs, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages. This limitation applies whether based on warranty, contract, tort (including negligence), or any other legal theory, regardless of whether we have been informed of the possibility of such damage.
Your use of the Service is at your own risk. The Service is provided on an "AS IS" and "AS AVAILABLE" basis. The Service is offered without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

These Terms shall be governed and construed in accordance with the laws of Brazil, without regard to its conflict of law provisions.
Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is found to be invalid or unenforceable by a court, the remaining provisions will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede any prior agreements we may have had.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will aim to provide at least 30 days' notice before the new terms take effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use our Service after these revisions become effective, you agree to be bound by the updated terms. If you do not agree to the new terms, you must stop using the Service.
